Welcome to the fine print — partner edition. The short version: you refer good clients, we take great care of them, and you get paid fairly for as long as they stay. The longer version follows, because clarity now beats awkward conversations later. That's kind of our whole thing.
The MyNebulas Partner Program allows approved agencies and professionals ("Partners") to refer clients to My Nebulas in exchange for commissions on the revenue those clients generate. By registering as a Partner, you accept this Agreement, our Terms & Conditions, and our Privacy Policy. This Agreement takes effect on the date you complete partner registration.
Upon registration, you receive a unique referral link and partner code. A client is attributed to you when they complete onboarding through your referral link. Attribution is determined by the referral code present at the time the client completes their setup; where multiple partners have shared links with the same client, the code used at onboarding controls. We are unable to retroactively attribute clients who onboarded without your code, so make sure clients use your link.
You may not refer yourself, businesses you own or control, or artificially split one business into multiple referrals. Sub-affiliates — sharing your link through paid referral networks or passing commission obligations to third parties — require our prior written consent.
Clients arriving through your referral link receive streamlined onboarding and skip our standard verification review. In exchange, you agree to verify — before sharing your link with any client — that their business meets our service standards as set out in Section 2 of our Terms & Conditions. In summary, we do not serve businesses engaged in: the production, sale, or distribution of alcohol, tobacco, or intoxicating substances; gambling, wagering, or games of chance; pork-derived products or non-ethically sourced animal products; adult entertainment or sexually explicit content; or interest-based lending, speculative trading, or usurious financial practices.
If a referred client is later found to violate these standards, we may offboard the client, reverse any commissions associated with them, and — for repeated or knowing violations — terminate your participation in the Program. When in doubt about a prospective referral, ask us first; we'd genuinely rather answer a question than unwind a commission.
You earn: (a) 40% of the one-time setup fee for each referred client, payable once the client's subscription is activated (go-live); and (b) 15% of the monthly subscription fees actually collected from that client, for as long as they remain an active, paying client. Commissions are calculated on amounts actually received by My Nebulas, net of refunds — not on invoiced or promotional amounts.
If a referred client cancels within ninety (90) days of go-live, the setup commission for that client is reversed. Reversals are deducted from your future payouts; if no future payouts are pending, we may invoice you for the reversed amount. This exists to keep the Program focused on well-fitted, lasting referrals — not volume.
Commission statements are issued monthly, on or about the 1st, covering the prior month. Payouts are made via your chosen method (PayPal, Wise, or bank transfer arranged directly). Balances under $50 roll over to the following month rather than being paid out — they are never forfeited. You are responsible for your own taxes on commission income; U.S.-based partners may be issued applicable tax forms.
We may adjust commission rates with at least thirty (30) days' written notice. Rate changes apply prospectively — commissions already earned, and the recurring rate on clients already active at the time of the change, are honored at the rates in effect when those clients went live.
Fairness runs both ways. We will not circumvent you: a client properly attributed to you remains yours for commission purposes for the life of their subscription, including upgrades and plan changes. We will not solicit your referred clients for services that compete with your agency's own offerings. And we will maintain the client relationship with the same care that earned your referral in the first place — our retention is your recurring income.
You are an independent contractor, not our employee, agent, or legal representative. You may not make commitments on our behalf, modify our pricing or terms, provide guarantees about outcomes, or represent yourself as My Nebulas. You may accurately describe our services using our published materials, including the Automation Catalog.
We grant you a limited, non-exclusive, revocable license to use the My Nebulas name, logo, and published marketing materials solely to promote the Program. You may not alter our branding, register domains or social handles containing our name, run paid ads bidding on our trademarks, or use our brand in any way that suggests endorsement of your other services. This license ends when your participation in the Program ends.
Commission rates you negotiate individually, client information you receive through the Program, and any non-public information about our systems or business are confidential. This obligation survives the end of this Agreement. Your referred clients' data belongs to them and is handled per our Privacy Policy; the Partner Portal intentionally shows you client names, statuses, and your commission amounts — never their credentials, keys, or business data.
Either party may end participation in the Program at any time, with written notice — email is fine. Upon termination: (a) commissions already earned are paid per the normal schedule; (b) recurring commissions on your active referred clients continue for twelve (12) months following termination, after which they cease — unless termination was for your violation of Section 3 or other material breach, in which case recurring commissions cease immediately; (c) your license to use our brand ends, and (d) your referral link is deactivated.
The Program is provided as-is. We are not liable for indirect, incidental, or consequential damages arising from the Program, and our total liability to you under this Agreement is limited to the commissions paid or payable to you in the three (3) months preceding the claim. Nothing in this Agreement creates any obligation for us to accept any particular referral or to maintain any client relationship.
We may update this Agreement from time to time. Updated terms will be posted with a revised effective date, and material changes will be communicated to active partners with at least thirty (30) days' notice. Continued participation after changes take effect constitutes acceptance.
